The full list is in your proposal.
Changes
Either party may request a Change in writing. We will confirm any effect on fee and programme in writing, and the Change applies only once both parties agree in writing (email is sufficient).
4. Client Information and Start Date
Target delivery: 10 working days from the Start Date.
The Start Date is the later of (a) receipt of the deposit in cleared funds and (b) receipt of all Client Information listed in the proposal.
The contract forms on written acceptance of the proposal and these terms. The deposit received in cleared funds and the Client Information together set the Start Date.
Client Information is listed in each proposal and normally includes: plans; lease or particulars; site address; brief; access contact.
You are responsible for the accuracy and completeness of information you provide, and we may rely on it without independent verification. We may rely on third-party and public information, such as planning portals, Land Registry data, and Ofsted and DfE guidance, and we are not liable for errors in it.
Site visits. One site visit within Greater London is included. Travel outside Greater London is quoted in the proposal.
5. Turnaround and delivery
Target delivery: 10 working days from the Start Date. (See clause 4 for the Start Date.)
Deliverables are issued as PDF (and any model or data files listed in the proposal) by email or secure link.
After delivery. The fee includes a 1-hour review call and one round of questions or clarifications by email, within 10 working days of delivery.
6. Payment
We will invoice 50% of the fee on acceptance and the balance on delivery. Invoices are payable within 14 days by bank transfer, in the currency stated on the invoice.
The 50% deposit is invoiced on acceptance. The Start Date is set once the deposit is received in cleared funds and we have all the Client Information (clause 4). The balance is invoiced on delivery. Each invoice is due within 14 days. Payment is by bank transfer, in pounds sterling (GBP). Invoices are issued through Xero.
VAT is charged at the applicable rate.
7. Postponement, cancellation and stopping
You may postpone once, with at least 3 working days' notice before the Start Date, and the deposit carries over for up to 3 months. Later or repeated postponements are treated as cancellation.
If you cancel
If you cancel after accepting the proposal but before Work Starts, we refund your deposit in full within 14 days of cancellation. If you cancel after Work Starts, you pay only for the work done (the fee ÷ 10 × the working days worked), set against your deposit, and we refund any difference within 14 days of cancellation. If the work done comes to more than the deposit, you pay the difference, up to the full fee.
If we stop or cancel
If we find early that the site is clearly unsuitable, we may stop and issue a short no-go memo. We will then charge for work done (capped at the deposit) and refund any balance of the deposit.
No refund is due because of the outcome of the advice, including a no-go conclusion or a later planning refusal.
8. Nature of the advice
Our deliverables are a professional opinion at feasibility stage, based on the information provided and the rules in force at the date of delivery. Cost ranges are indicative only. Planning views are our professional judgement, not a determination. We do not guarantee planning permission, Ofsted or DfE registration, Building Regulations approval, or any commercial outcome.
9. Liability
Liability cap: our total liability is capped at the greater of 10 times the fee or £100,000.
Exclusions: no liability for indirect or consequential loss (loss of profit, revenue, rent, opportunity or goodwill); a net contribution clause applies; claims must be brought within 6 years from delivery.
Nothing limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law.
10. Third parties and sub-consultants
Deliverables are for your use only, for the stated site and purpose. No third party, including landlords, lenders, investors or buyers, may rely on them without our written reliance letter, which may carry a fee. The Contracts (Rights of Third Parties) Act 1999 does not apply.
11. Referrals
We may receive introductions from referral partners and may pay them a fee for an introduction. Referral partners are not our agents, cannot bind us, and are not responsible for our services. Our contract is with you alone, and the referral does not change our fee or your rights under these terms.
We may receive or pay a referral fee; if we do, we will tell you.
12. Intellectual property
We retain all intellectual property in our drawings, models, reports, methods, scripts and tools. On full payment, you receive a non-exclusive, non-transferable licence to use the deliverables for the stated site and purpose. The licence excludes use for other sites and use as construction or tender information. We may use the work in our portfolio in anonymised form, or named with your consent, which will not be unreasonably withheld.
13. Confidentiality and data protection
We process personal data as described in our privacy notice at https://sprint.blng.studio/privacy/.
